FNB Shareholders OK Reincorporation in Pa.
PITTSBURGH – The shareholders of F.N.B. Corp., parent of First National Bank of Pennsylvania, Wednesday approved the reincorporation of their company in the commonwealth of Pennsylvania.
It had been incorporated in Florida since June 1, 2001 and moved its headquarters to Naples, Fla., from Hermitage. It originally incorporated in Pennsylvania as FNB in 1974.
At the annual meeting yesterday, they also re-elected the board of directors to terms of one year: William B. Campbell, James D. Chiafullo, Vincent J. Delie Jr., Laura E. Ellsworth, Stephen J. Gurgovits, Robert A. Hormell, David J. Malone, D. Stephen Martz, Robert J. McCarthy Jr., Frank C. Mencini, David L. Motley, Gary L. Nalbandian, Heidi A. Nicholas, John S. Stanik and William J. Strimbu.
Gurgovits is the nonexecutive chairman, Delie president and CEO of the corporation.
Directors declared a quarterly cash dividend of 12 cents per common share payable June 15 to shareholders of record June 1.
